CHARLES S. SAPNAS, ASA

QUALIFICATIONS AS AN APPRAISER OF CORPORATE SECURITIES

Mr. Sapnas performs independent business and intangible asset valuations for numerous purposes including recapitalization, estate and gift tax planning, employee stock ownership programs, mergers and acquisitions, financial reporting, litigation support, fairness opinions and other matters. His industry experience includes biotechnology, Internet services, computer software, advertising, food service, insurance, retail, agriculture, business services, real estate, environmental services, manufacturing and engineering.

Mr. Sapnas holds the Accredited Senior Appraiser (ASA) designation of the American Society of Appraisers in the discipline of Business Valuation. He is a Candidate (Level II) for the designation of Chartered Financial Analyst (CFA) offered by the CFA Institute.

Mr. Sapnas holds a Bachelor of Science degree in Finance with highest honors from Rutgers University. He is a member of the American Society of Appraisers and the Estate and Financial Planning Council of Southern New Jersey.
